Dear Sir,

1. A company wants to convert its members' liability from limited into unlimited.

2. Does any resolution to be passed in AGM or EGM?

3. If it so, kindly in for the Resolution name.

Thank you.

With regards,

R. Marimuthu.

Since there is no provisions of companies Act, 2013 and rules made thereunder deals with the topic of conversion of Limited company into Unlimited company, no form, no resolution shall be qualified for this purpose.

If possible first visit and discus with local ROC.

i think you cant. The liability of  the members in a company if limited by share is liable only to the extent of amount remaining unpaid on shares and incase of guarantee given by members then to the extent of guarantee given by them.
