If the LLP Agreement is made before the Certificate of Incorporation, then it is necessary to pass a Resolution for Ratification.
Attached herewith is the resolution which needs to be printed on Rs. 100/- non judicial stamp paper, signed by all the designated partners and partners and to be attached to Form 3 while uploading/ resubmitting.
DEED OF RATIFICATION
Ratification of LLP Agreement:
The Chairman informed the partners, that all the Partners (including Designated Partners) entered into a Limited Liability Partnership Agreement as on __ July, __ which now needs to be ratified by the Partners unanimously.
The Chairman then read the agreement and the following resolution was passed unanimously:
“RESOLVED THAT subject to the applicable provisions of LLP Act, 2008 and rules made there under, whereas the LLP has been incorporated as a legal entity, consent of the LLP is be and is hereby given for ratification of the LLP agreement made before its incorporation.
RESOLVED FURTHER THAT any one of the Designated Partner of the LLP be and is hereby authorised to do all such necessary acts to give effect to this resolution.”
