Where the Director retiring by rotation at the ensuing AGM, has at the Board meeting for approving the notice of AGM submitted his resignation. Will the item of agenda have the name of the next Director to retire by rotation or would we still show his name in the director retiring by rotation.
My view is that the name of the next director retiring by rotation name should be taken up.

Yes, if a director has resigned as director w.e.f. the date of Board Meeting or before, name of other director should be considered as retiring director and for his resignation formalities are to be done with MCA. Hope it help, correct me if I am wrong.

what will be done in case the notice of AGM is already published and the director who is liable to retire by rotation resigns within the 21 day gap prior to the meeting ?
