resignation of director

In the board meeting of a company 3 directors are appointed as additional director (1 resident & 2 non resident) & the company already having 2 directors who was 1st directors of the company (the meeting was held in India).

On the very next  day an another board meeting was held out of India which is attended by only 2 non resident directors. In this board meeting the first directors resigned from their designation.

I want to know that is it possible that can the directors resigned from their post without attending the meeting & also the directors resigning from  their post included in the quorum?

Hi,

 

For the purpose of quorum physical presense of the director is must. If thedirector is not physically present in the BM then he will not be considered for the purpose for quorum.

 

For the purpose of resignation attendance at board meeting is not required.

sir should we grant the leave of absence to the directors resigning from their post for the purpose of holding a board meeting or

 should we assume that they are not part of board of directors because they have already resigned from their post by the way of resignation letter. 


If on the date of BM he has already resigned from the board then there is no need to give him leave of absense...


For this purpose effective date of resignation is imp.
