resignation of auditor
So you are going to fill a casual vacancy in the EGM caused by the resignation of auditor. In this case you have to pass an ordinary resolution to fill the vacancy by the appointment of new auditor.
Special resolution for the appointment of auditor is required only when section 224A is applicable to the company.
Normally, When there is appointment in the EGM, then it is not to fill the Casula Vacancy and It is for the Change of the Auditor Permanently. So, Assuming the same case with U.
Special Resolution has to be passed.
