remuneration to directors other than sitting fee and commiss

Dear Members,

Can we make payment to Directors (other than whole time and M.D) other than siitting fees FROM ITS SUBSISIARIES.

bKOZ SECTION 309(6) of the act says that "No Director of the Company who is in receipt of any commission from the Co. and  who is either in the Whole Time Employment or M.D shall be entitled to recieve any commission or other remuneration from any subsidiary of such company"

please guide its very urgent
