Removal of a director.

I'm the majority stakeholder and director of a Pvt. Ltd. company (99.99% shareholding). The rest .01% lies with the promoter, who is not a director. The 2nd director owns zero shareholding. But I had rendered him several responsibilities like signing authority etc. Lately, he has been very irresponsible and deterimental to the company and so we (both shareholders) have decided to seek his removal.

How can we remove the second director forcibly, if he's not willing to cooperate in any manner?

Pl refer Section 284 of Companies Act 1956 regarding  removal of directors.  I tried to copy it here but it is not being displayed here due to some problem in website.

 

By ordinary resolution, the company can remover director & also spceial notice of removal of director is required.

A vacany created in meeting is to be filled by appointment of another director in same meeting povided special notice is povided of the intention of appointing another director.

Also read section 252 for minimum number of directors.
