the CO. (Listed) having 4 executive Directors, out of them 3 are premoter Director 2 non Executive Independent director(one is Women) , Chairperson is non executive, independent Director.

assuming out of 4, two are promoter n other two are independent, the Constitution is fine (ie min 1/3 independent where chairman is non executive)..

ok... since your chairman is non executive, 1/3rd of 6 should b independent.. i.e 2... so the composition is fine
