Regularisation of additional director

“RESOLVED that Mr. ____________ who was appointed as an additional director of the Company by the Board of Directors on _________ (date) and who holds office upto the date of this Annual General Meeting and in respect of whom the Company has received a notice in writing under Section 257 of the Companies Act, 1956 from a member of the Company, proposing his candidature, be and is hereby appointed as the Director of the Company, liable to retire by rotation. 

In case of Private Company, directors are not liable to retire by rotation.
