Registered office needed for my company

Co Act 2013 1559 views 11 replies

Hello,

I am starting a new company which is dealing in fashion accessories which are imported from abroad as well as some designed and white labeled by me. I was running this from home till now, but now have found 2 parties who are interested in starting a private limited company as equal shareholders (total 3 shareholders).

I do not want to use my home address (I am the owner of a flat in Khar, Mumbai) as the regisstered office of the company because i don't want to have any risks taken on my personal real estate property for the sake of the company.

I am aware that there are companies in Mumbai that give virtual office on rent, but can anyone tell me how authentic it is? Is it advisable for me to go ahead and take their registered office on rent for incorporating my company?

Thank you very much,

Nalini

Dear Nalini,

You can take an office on rent. There is absolutely no harm in it and nor are there any legal hassels in doing that. At the most, if at all you shift your office, you have to intimate the same to the  ROC.

I guess there is a company called Regus in India, which provides offices on rent…

Though I am not sure, but I guss they have an office in Fort

Thank you Ankit, since I am in Mumbai, I am discussing it with providers of virtual offices like Regus and TimesOffice. Is virtual office the same as registered office from company incorporation point of view?

Yes I understood that…I am also in  Mumbai only…But no. That may not be acceptable, since the law requires you to have a proper office, where you can maintain books of accounts, have a name plate outside the office etc. which is not possible in a virtual office which someone like, a Times office would provide you with. That concept applies say in case of a foreign company, which wants a point of contact in Mumbai.

You need a proper office. As I said Regus or Times, provide actual office space, with all facilities on rent. I don’t know about other such companies…

But for sure you need an actual office from where you operate.

Dear Nalini,

It is a pleasure to know that you are incorporating a new company. My expertise is registration of companies in Mumbai with Registrar Of Companies for various business entities like Private Limited Company and Limited Liability Partnership.

As mentioned in the message above by Ankit, there are many service providers in Mumbai who are providing registered offices on rent, it is quite simple. My clients have used registered office service with Regus, Stylus and TimesOffice and all work very well. However, Regus and Stylus are very international and costly, but TimesOffice is priced very nominal. Please let me know if you want any more guidance regarding your company registration.

Sincerely,

CS Arun Mehta

For all the PMs i received - given that this is an important discussion not just for me but for entrepreneurs who may be in a similar situation, I would request if we can all have this discussion in the forum and not as personal messages (PM). I truly appreciate your helpful intentions.

Ankit and CS Arun Mehta, thank you again for pointing me in the right direction.

I was looking at timesoffice.in as they provide exactly what I am looking for - a registered office on rent. Have you had any clients who have used this service successfully? I mean have they used TimesOffice registered office service and been able to incorporate their private limited company in Mumbai?

Spoke to Mr. Peter from TimesOffice.in . It seems convincing and the service they offer seems to be a good fit for my small startup. Regus is way too expensive and they are very aggressive in selling - which is a put off.

But JUST ONE LAST HURDLE -  I need to know if anyone has used TimesOffice.in for registered office address or company incorporation before. Please advise as I believe "time is life" and once I have decided I would not want to waste anymore time and quikly move ahead full steam.

Ankit, CS Arun Mehta or Vawesh - any help here?

@ CS Arun Mehta - I already have a someone known who is a CS and is doing the registration work for me. But I will keep you in mind for any future leads, please pass me your contact details.

Going to hire my first employee - does anyone know what all do should i set up from legal and compliance and accounting point of view.

Should i register for shop act? PF, gratuity etc? Is there any information about this somewhere online?

Go for shop act registration but no need for PF or ESI Untill and unless there are not at least 10 employees in your firm

Hi, Were you able to use Virtual office and get pvt ltd. registered?
