Regarding filing of mbp-1

I have registered a company on 24/10/2013 having 2 directors, me and my father. I want to know that where is it manadatory to file MBP-1(DISCLOSURE OF INTEREST) with MGT-14 by attaching board resulution. Also kindly note that me and my father having no interest in any other company not passed any resution till the date except bank a/c opening resultion and Auditor appointment resulution

kindly help me.

Dear Mr. Singh,

It is not mandatory to File MBP 1 as an attachment to MGT 14, though it has been observed earlier that ROC Kolkata was asking for MBP 1 as an attachment.

Certified true copy of Board Resolution would suffice the purpose.

IT'S NOT MY QUESTION,MY QUESTION, MY QUES IS IF A DIRECTOR IS NOT HAVING ANY INTEREST IN ANY COMPANY EXCEPT THE COMPANY HE HAS FOUNDED,THEN HE HAS TO FILE MBP-1 WITH RESOLUTION OR NOT.

Hi Gaurav.....Giving MBP 1 disclosure is mandatory even if the Directors have no outside interest.....However, the same is not required to be filed with MGT 14.....only Board Resolution is to be passed taking note of the disclosures given and to be filed with MGT 14.......

Then what matter will be on board resulution if director have no outsiders interest atlso what to be filed in MBP-1 different coloum i mean whether it will be left blank or any thing else.

Please left the column blank if not applicable in MBP - 1.

And only Board Resolution is to be passed taking note of the disclosures given and to be filed with MGT 14, the reference resolution format attached. smiley

Your company requires to file form MGT 14, extract of board resolution taking note of interest is mandatory attachment to form MGT 14, so that extract of resolution taking note that you donot have interest in other companies, firms or body corporates need to be filed with ROC.
