NSE requirements for preferential issue - www.nseindia.com - Equity - Listing - Further issue checklists.
You have to pass special resolution by postal ballot as per section 192A of the companies act. Follow the provisions of Chapter VII of SEBI(ICDR)Regulations, 2009 for preferential allotment.
In case of Right issue can't help.
