As it cannot invite public to subscribe for any of its securities , it is waste to issue prospectus.

Firstly private Company has to covvert themselves into a public limited Company
PRIVATE COMPANY CANT BE LISTED
CONVERT PVT TO PUBLIC
AND PVT COMPANY ISSUE SHARE VIA PRIVATE PLACEMENT
But one exception
if private company want to list them in stock exchange
by listing their non convertible debentures.
hence pvt company can become listed company.
