Section 105 (3): A director can not appoint proxy for Board Meeting. Question: whether a director can appoint Proxy for General meeting in capacity of Director (Director not being a member)?
section 105(1) : it's clearly mentioned that any member of the company entitled to attend and vote can appoint proxy. hence, Director in capacity of Director cannot appoint proxy for GM.
