Yes prefereence shareholder who have right to vote at the meeting shall appoint proxy. But proxy shall not be the member of the Company and such proxy shall not be counted in the qurum of the meeting . Such proxy shall not have the right to vote at the meeting except on poll.

Only a individual person shall have the rigfht to appoint the proxy,

Company shall not appoint the proxy. such Company shall authorize its authorized representative to attend the meeting on his behalf.

Rest of the power entrusted to proxy shall be same as that of the orignal shareholders of the meeting.

Proxy may demand for Poll as per section 109 of the act and he can vote by poll.
