Proposal for appointment of new director

Hello everyone,

My co. is Pvt. Ltd. We have two directors on the Board. One is an Indian Director and other is Foreign Director.

Now co. wants to place a proposal for appointment of one of the senior management person as a Resident Director on the Board as we are facing lot of difficulties in our day to day & other activities.

Kindly support in providing various reasons which is mandatory in nature and legally required so that it can satisfy the reasons for his appointment to the Parent Foreign Company.

Please guide/advise.
