Procedures regarding Shifting of Registered office

Hi,

While changing the registered office of a Company if its within the local limits we need to pass a board resolution and file the e-form 18 with the registrar.

Will the address New Delhi-110001 to New Delhi -110008 constitue a change in address outside the local limits-- if yes then-

Would I require to get shareholders approval for the same by holding a General Meeting.

Kindly Advice.

its come under local limits. so no worry. only Board resolution with form 18.

How is the local limits determined- any specific method-(based on municipality or something)

Dear Jeets,

In this respect, I hereby refer DCA clarification vide circular No. 1/1/80 CL -V Date 16/12/1981 and letter No. 2/M-1594/74 Dated 29-4-1988, wherein it has been clarified (with reference to place of holding AGM) that the said limits mean both the postal limits and local body limits of the city in which the registered office of the company is situated and where the two do not coincide, the wider of the two.

Hence in your case also, we can draw reference to above clarifications by the department to determine the local limits.
