Appointment of Additional Director

In this situation u can take the following route:

1. Convey a Board Meeting
2. In Board Meeting u first appoint additional director
3. Authorize new director to sign and file  forms with MCA and other authorities.
4. File Form 32 of appointment of directors with concerned ROC and take approval from ROC.
5. Convey a Board Meeting for calling general Meeting for regularization of existing additional directors

Regards

get DIN first if you appointing first time to any person

1. Obtain consent letter for appointment (not mandatory but advisable to take)

2. Convene Board Meeting & file Form 32. The Category of Director selected must be additional director

3. Obtain Form 24AA from the director

4. regularise his appointment in the upcoming Annual General Meeting

5. File Form 32 for change in designation from additional director to director
