Preliminary expenses query

Dear All, 

I require urgent assistance on a topic.

A company who is planning an IPO, has incurred expenditure on raising its Authorized Capital. The company has made expenses towards RoC fees, Registrar etc. Can the company claim the expenses as preliminary expenses and write it off in a period of 5 years? I have done some research, and AS-26 excludes Share Issue Expenses from its scope. However, the auditors of the company claim that the expenses are allowable under "Schedule VI of the Companies Act" and under "Guidance Notes Issued by the ICAI for Miscellaneous Expenditure", but I am not confident.
