A Ltd. merged into B Ltd. Please advice what is to be done for surrender / transfer of the following registrations / licences . Can the registrations / certificates/ licenses be transferred in favour of the merged entity,which would be taking over all assets and liabilities as per the Court order ?
Income Tax - Pan card
Excise / Vat
PF / Factories Act / ESI
Electricity Dept.
Import / Export registration - IEC number
Electricity Dept.
Pollution clearance certificate
Merger scheme might have provided that all registrations will be automatically transferred to the transferee company without any further action. However, in practice, you will have to inform all departments with copy of High Court order and take suitable action.
- PAN card of B Ltd will continue & card of A Ltd will cease to be effective
- Since excise/service tax/ VAt registrations are based on PAN, all registration Nos. of A Ltd will change.
