Yes, the AGM is to be held at the registered office only whereas the B/M can be held anywhere as per convenience.

if AOA of company specify the name of place of BM then it has to be taken place only on that place

 True, but AOA can be altered for convening the Board Meeting as per convenience though such alteration will be a costly affair.

BM can be held at any place ...... but you require to give notice to shareholder about transfer of statuory register from registered office if the BM held at place other than regisrted office..

Board Meeting can be held at any place as per the convenience of the Board of Directors. However, if the articles has prescribed the specified locaiton for the conduct of Board Meeting, the same shall be contucted at that place only and it does not required to be informed to any body.

Is it necessary that the meeting should be at the co. registered office or within the city, town or village in which the RO is situatued?

See this.... that in holding of Board meeting other than registered office place. than a notice require to be sent to Shareholder...

Acc. To S. 301 register of contract shall be placed in each BOD meeting & if we hold BOD meeting o/t registered office it would involve removal of register outside the registered office. Since register should be kept at RO hence it seems that we can held meeting only at RO. But DCA has allowed co. to remove register of contracts provided 1. Adequate notice to shareholder is given 2. Inspection of register is allowed to share holders. .........................
