Passing a resolution at agm

If a special or ordinary resolution has to be passed at the AGM, who passes it?

The Board or Directors or the shareholders? or both?

shareholders will pass ordinary /special resolution on items/matters as recommended or included in notice calling AGM/EGM ,Board pass their resolution at duly convened meeting or through resolution either with general majority /unanimously.

So the sharholders sign the resolution passed at the AGM?

they approve resolution by casting vote in proportion to their holding in total paid up capital ,either in favour or against the resolution ...and such is maintained in minute book of the company duly authenticated by chairman ,if there is evoting /postal ballot then company shall appoint scrutinizer who shall submit report on voting results ....
