Notice for AGM

Hi,

Can a private company give the notice of AGM at the time when the statutory audit(expected to be complete before the date of AGM) of the company is in process.

Please advice.

Yes it is possible subject to the compliance of section-171 of the Companies Act, 1956.

 

Then in this case you have to hold two board meetings.

  1. For approving notice of AGM.
  2. For adoption of Annual Accounts along with Directors’ and Auditors’ report.

Yes Notice will be must. For notice period just check out the Article of Association of the Company where the notice days will be given. Generally in Private company there is 7 days notice period but in public co there is clear 21 days notice period.
