Notice date for agm

Practically speaking, notice date of AGM means the date of board meeting on which directors approved notice of AGM. Here date of signing of financial statements by director and auditor is irrelevant. Since Auditors have signed documents on 05.09.2015 hold a board meeting on 06.09.2015 to approve notice of agm and this will be the date of AGM.

OUE CLIENT HAVE GIVEN FINANCIAL STATEMENTS ALONG WITH AUDITOR'S REPORT. IN THAT FINANICAL STATEMNTS SIGNED BY AUDITOR & DIRECTOR'S IS 04.09.2015 BUT AUDITOR;S REPORT SIGNED BY AUDITOR IS 05.09.2015.

NOW MY QUERRY IS ON WHICH DATE I CAN ISSUE NOTICE FOR CONDUCTING AGM?

Notice date in my openion is the date of actual board meeting when accounts were approved i.e 04.09.2015
