You will have to refer clause under proprietorship act, where it is specified....... that the proprietor is liable for all the liabilities of the proprietorship concern; similarly he is beneficiary of all the assets of the concern; even after its dissolution.

Better to take professional help from experience advocate in such matter.

Still advice you to contact a senior/experienced legal advisor, for further action and reply to the objection raised by opposite party. You are in strong position, as the cheque has been returned without materialization. Only thing is you should take action fast, before lapse of allowable time period.

Actually its time for action, and no better advice from what stated earlier. May just suggest you to rope in a reliable advocate, who can get you your rights.
