Dear Friends,

I have a doubt on the time limit for signing of board minutes. As per the COsAct, 2013, the minutes has to be entered within 30 days of the board meeting and as per the rules, the minutes has to be signed by the Chiarman of the meeting or the Chairman of the next meeting.

My query is what is the time limit for signing the minutes? Is it 30 days days or it can be signed in the next meeting?

Submit the minutes with any authority with in 30 days. You may get then signed later as per the availability of chairman. But put the date of signing as per your requirement i.e. with in 30 days.

There is difference between date of entry and date of signing.

(Board Minutes)

Prepare the minutes and enter it into minutes books within 30 days of meeting. But get it signed within the time prescribed under rule 25(1) of the Companies (Management and Asministration) Rules, 2014.
