Can any one share the procedure for making Managing Director to Non-Executive Director?? Please share the procedure and also resolution format and form to be filed with ROC in terms of CA'13, if available?

I think this is the only case of change in designation and DIR- 8 is sufficient ,
As you need to mention in resolution that designation has been changed thats it.
as I haven't came cross such situation yet , I dont have any formats , but will let you know if any.
