with regard to shareholders meeting

Ordinary resolution is that when no of votes casted in favour exceed in comparison with against

Special resolution is when the votes cast in favour of the resolution  are not less than three times the number of the votes, if any, cast against the resolution by members so entitled to voting.

with regard to board meeting 

there is no such ordinary and special resolutions are there....... in this case the resolution passed by board members are called board resolutions..

Regarding Board Resolution vote cast in favour of vote exceeding the vote cast against the vote, if any.
