can any body tell me whether

  1. can paste excel sheet in Statutory books for issue and transfer of shares
  2. minutes should be in a book binding form and when it should be binded or if in loose that should be serially numbered

Dear Mohit

1. yes it can be done and it must approved from Chairman and Board

2. no specific rules. ICSI guidelines says for 6 months but you generally you can take 1 year.

Dept. vide its letter dated 16-12-1972 had stated that without prejudice to the strict legal position, AGREEABLE TO PERMIT the Loose-Leaf Minutes Book [(i.e) Computer or Typewriting printed minutes duly signed and seal by the Chairman / directors], provided that company should ensure safeguards against interpolation of the leaves. THE COMPANY SHOULD ARRANGE THE LOOSE-LEAF MINUTES TO BE BOUND IN BOOKS AT REGULAR INTERVALS OF SAY SIX MONTHS. It should be in arranged format suchas Sl. No. of pages, Authentication of each pages and the Date of minutes in ascending order.
