LLP Incorporation - Form 3 filing

Hi,

I'm done with LLP Incorporation, i.e., filed form 2 and got approved. Now I have to draft LLP agreement and file Form 3, but I'm confused with few sections of Form 3.


in Form 3, there is a mention of

relating to rule 16 (2)     
relating to rule 17(1)    
relating to rule 20(1)    
relating to rule 24(18)(a)

 

I tried to look about this in LLP Rules and Act, but could not find any information on this. Please can anybody help me with this. Also it would be great if you can provide me a draft LLP agreement for this.

16 (2) The limited liability partnership, may, in addition to the
registered office address, declare any other address as its
address for service of documents, under sub-section (2) of
section 13, in the manner as laid down in the limited
liability partnership agreement. Where the limited liability
partnership agreement does not provide for such manner,
consent of all partners shall be required for declaring any
other address as the address for service of documents.

  

17 (1) The limited liability partnership may change its registered
office from one place to another by following the
procedure as laid down in the limited liability partnership
agreement. Where the limited liability partnership
agreement does not provide for such procedure, consent of
all partners shall be required for changing the place of
registered office of limited liability partnership to another
place:
Provided that where the change in place of registered
office is from one State to another State, the limited
liability partnership having secured creditors shall also
obtain consent of such secured creditors.

  

20 (1) The limited liability partnership may change its name by
following the procedure as laid down in the limited liability
partnership agreement. Where the limited liability partnership
agreement does not provide such procedure, consent of all
partners shall be required for changing the name of the limited
liability partnership.

 

24 (18) (a) The partners of a limited liability partnership may remove an auditor
from office at any time by following the procedure as laid down in the
limited liability partnership agreement.

Firstly, thank you very much for the answer to my query. Secondly, would like more information as to what should be filled in those sections in LLP form 3, as shown in image that I uploaded. What I mean is what should be the exact phrase or words I should use to convey the general thing.i.e,, whatever changes we intend to do will be done by consent of majority of partners.

u hv to write just CLAUSE NUMBER in that form3...  that CLAUSE NUMBER will be of the Provision of that clause of ur LLP AGREEMENT where the provision relating to said rules are written.. n no need to write the detailed provision of LLP agreement..!

  

opinion of other members must be considered..

what did u fill up in the other columns 8 to 15 which require the clause to be filled up ? e.g
8 - Mutual Rights and Duties of Partners

9- Restrictions, if any, on the partners’ authority. ? Plz reply

Hi, 

I also formed LLP recently in Uttar Pradesh and now need to file form 3. Can some one please share the draft agreement for 3 DPs. Also, what should be the value of the stamp paper for the agreement. Do I need to notarise the agreement? The total contribution for the LLP is 1 Lac.

The LLP agreement has to be notarised on a Rs 100 non-judicial stamp paper. 

I had attached Rent Agreement, Electricity Bill & NOC. Noc was done on plain paper.

Hi,

We have applied for the reseravation of name for LLP and the same have been approved, but now the situation is client does not want to carry on the business at the place specified while filing form for reservation of name.

But they want the same name for  carrying on the business at the other place.

Please guide how to proceed further.

yes NOC from landlord is compulsory
