Listing

For a company to get listed, various conditions and comittments are required to be met. Different stock exchanges demand different committments to be fulfilled.

Shareholdings / Minimum number of shareholders for listing is one among them.

The numbers vary for listing purposes, continuous listing and also for different for bringing the open offer for purchase.

My specific question is what is the minimum number of shareholders that are required for

a. Listing

b. Continuous listing

c. Bringing up open offer for the companies listed on Calcutta stock Exchange...

It would also be worthy if the criteria on which such numbers are decided is brought to notice

Pls substantiate your answers with a valid source.(links or references may be attached with the posts)

There exist no change in shareholding pattern from one stock exchange to another. All stock exchanges have to follow the rule 19 of Securities Contract Regulations Rules, 1956. It may be noted that there were substantial ammendments to this rule in 2010.

You also need to reframe your question since any company getting into public needs a minimunm shareholders as prescibed by companies act (i.e. 7 unless ammended). This shareholders need to get the minimum holdings as specified by the above act.

Shareholders is quite different from shareholdings.

Now the question arises for shareholding pattern,

- Lisiting :-

Rule 19 (2) b, Atleast 25% of shares n potential shares to be offered + allotted to public via offer doc and 10% in case if post issue capital @ offer price is > 4000 crores. (one exempted condtion also persist).

- Continuos listing :-

Rule 19A provides that every listed co to maintain atleast 25%. ( if the shareholding falls below 25% all efforts shall be made within 12 months to regain that postion of 25%)

IT SHALL BE NOTED THAT THE ABOVE NUMBERS ARE GIVEN FOR SPECIFIC MAINTAIENCE OF SHAREHOLDINGS.

For Initial listing pattterns you may refer to clause 19 (2) b of the securities act.
