ISSUE OF SHARES TO NRI and fund received from his NRO A/C

Dear All,

My company want to issue shares to NRI.

That NRI is having NRO Account.

so my question is, is required to file Form FC-GPR and do all these valuation or what and need to intimate RBI.

or it is non-repatriation basis so i just only need to go through only ROC Compliance and not required to go through all these FEMA proceedings.
