Issue in Annual General Meeting

Dear Friends,

suppose my board meeting is on 02nd july 2010, (and the date of signing of balance sheet by the auditors is also on the same day), i am issuing a notice to my share holders that the AGM will be held on 30th July 2010.

is this a violation? if yes, what is the penalty?

No apparently there is no violation at all.

 

Approve the AGM notice in the board meeting dated July 02, 2010 along with adoption of Annual Accounts.

 

Please tell me what is your apprehension and why are you considering the same as violation of company law?

As rightly said by Mr. Ankur, there is no violation.

 

On 2nd July you have approved the Annual Accounts, signed the Balance sheet  and thereafter approved the notice of AGM.

 

Then, only 21 clear days notice required to the shareholders. Post the notice on or before 6th July.

 

 

Furthermore the company must not be Listed One otherwise the date of Board Meeting itself would be the voilation of Listing Agreement.
