can independent director be appointed for unlisted entity?

As per Rule 4 of Companies (Appointment and Qualification of Directors) Rules, 2014, following unlisted public companies shall have atleast 2 directors as independent directors
1.Public companies with paid-up share capital of RS.10 crores or more
2.Public Companies with turnover of RS.100crores or more
3.Public Companies with aggregate outstanding loans, debentures, and deposits, exceeding RS.50 crores.

They can appoint the independent director, but it is not compulsory
