In XYZ ltd Rohit appoint as a independent director for period of 5 year after such period company not make reappointment of such director than the provision of 149(10)for cooling period are applicable or not on such person for appointment in company in any capacity

The term of an Independent Director is for 2 terms each term consist of 5 consecutive years..
At the time of reappointment i.e. for 2nd term Company should pass special resolution and mentioned in the board report..

but I say if such director in not reappoint then 3year cooling period applicable or not?
