No, form 23 is not reqd. to be necessarily filed if the co. passes ordinary resolution.
The co. will pass OR if MOA only is reqd. to be altered and if AOA is altered then SR will be passed and then Form 23 is reqd.
But in ur case since AOA is not altered so Form 23 need not be filed.
