How to wind-up if no return is filed and...

Hi 

My issue is, I incorporated the company in Bangaluru as Pvt.Ltd in june 2008 but no business has been done since and no return could be filed in last 3 years. Now I need to wind-up the company. The company has no assets, no liabilities, no income and no billing.

 

Please advice me what procedure should I follow now as I have financial issues too.

Is there any govt. scheme which can benefit me.

You can wind up the company through Fast Track Exit Scheme now. all you need to attach with the form is:

1. Board reslotion

2. Statement of (nil) assets and liablities from the auditor.

3. Affidavit from Directors

These days a scheme is being in process by the MCA to get the company which are not working since incorporation or have not done any business for the last one year, they can file the application with the concerned ROC in E Form FTE along with a board resolution, statement of accounts exhibiting nil assets and liabilities and affidavit and Indemnity Bonds. The ROC if found the necessary documents are in order, will immidiately struck off the company and your company will be struck off within a time period of 2-3 months from the Register of Companies of concerned ROC.
