HOW TO INCREASE AUTHORISED SHARE CAPITAL OF A PVT LTD CO.

Find below the procedure

1) Convenue a board meeting to discuss the agenda and fix general meeting date for passing ordinary resolution of shareholders u/s 94.
2) Convenue general meeting on due date.
3) File e-form-23 only if increase in AC warrants change in articles along with explanatory statement u/s 173(2) within 30 days of passing the resolution.
4) File e-form 5.
5) File altered MOA and AOA (attach with form-5).

No physical submission is required now.

ROC Fee---12,000

Stamp duty---Rs. 600 @ .15%

Find attached a useful file.

Both the fee may be paid through challan generatetd during uploading of form 5.

I did filing works relating to Increase in authorized capital 2 times in my articleship in Chennai.even one recently..

But the stamp duty was never required.I just upoladed all e-forms along with notice,explanatory statement,minutes,list of directors and shareholders ,etc after that Challan is generated for ROC fees only.And the client pays it..thats it..the Authorized capital increases..

So now I wonder whether I had some lapse in the procedure..plz guide me..

If the increase is from 20L to 60L, the filing fees is 70,000 for the state of TN.  Is there a stamp duty also applicable other than this amount ? Also how do i pay this amount ? Can we deposit in a bank or online payment is compulsary ?
