Green Initiative by Corporates

1. The Company may send letter to its shareholders for informing and seeking thier e mail. The format is as under:-

Dear Shareholder,

This is to inform you that the Ministry of Corporate Affairs (MCA) has taken a Green Initiative and allowed the Corporates to send their Notices, Annual Reports etc., in electronic form and it will be deemed to have complied with the provisions of Companies Act, 1956. Accordingly, your Company proposes to send the Notices, Annual Reports etc., for the financial year ended 31/03/2011 onwards in electronic form to the members of the Company.

Accordingly, you are requested to please register / update your e mail id with your Depository Participant (in case of Demat holding) / Company or its Registrar (in case of physical holding).

Please note that said documents will be uploaded on the website of the Company i.e. www.kanplas.com for your ready reference. We will also notify you the date of Annual General Meeting and the availability of the said documents by publishing the same in newspapers. However, if you wish to receive the said documents in physical form, kindly inform us accordingly.

Please also note that as a Member of the Company you are always entitled to request and receive, free of cost, a copy of Annual Report of the Company and other documents in accordance with the provisions of the Companies Act, 1956.

2. Comapny may send letter along with feed back forms and pre post envelopes for sending back those feed back forms. The format is as under:-

Dear Shareholder,

Under Companies Act, 1956, you are entitled to have, free of cost, a copy of the Notice of Annual General Meeting, Balance Sheet along with other documents required under the Companies Act, 1956 to be attached thereto at the time of Annual General Meeting as well as upon receipt of a specific requisition from you, any time, as a member of the Company.

In this regard, the Ministry of Corporate Affairs ("MCA") has taken a "Green Initiative in the Corporate Governance" by allowing paperless compliances by Companies. Wherein Company would have complied with Section 53 of the Act, if the service of document has been made through electronic mode. We wish to take part in the above Green Initiative and propose to send above documents from the year ended 31^st March, 2011 onwards in electronic form, to the email addresses of the members of Company.

Accordingly, you are requested to please fill the below mentioned ‘feed back form’ and send it to the Registrars of Company M/s Skyline Financial Services Pvt. Ltd. at address given on the ‘feed back form’. The postage of sending forms would be borne by the Company.

3. The Companies may also send e mail to all the shareholders whose e mail is registered with the Company. Providing  them a link to register their mail address or opt for physical notice.

The Ministry of Corporate Affairs (“MCA”) has taken a “Green Initiative in the Corporate Governance” by allowing paperless compliances by companies and has issued a circular on April 21, 2011 and April 29, 2011 stating that the service of document by a company can be made through electronic mode. 

Keeping in view the underlying theme and the circular issued by MCA, we propose to send documents like the notice calling the annual general meeting, audited financial statements, directors’ report, auditors’ report etc. for the year ended March 31, 2011, in electronic form, to the email address provided by you and made available to us by the Depositories.

In case you desire to receive the documents mentioned above in physical form, please inform us before May ....., 2011 by clicking the button at the bottom of this email for the same. 

Please note that you will be entitled to be furnished, free of cost, with a copy of the balance sheet of the company and all other documents required by law to be attached thereto including the profit and loss account and auditors’ report, upon receipt of a requisition from you, any time, as a member of the Company.

To implement the above, companies has to circulate the above information to its shareholders and seek the e mail ids for the same.
