There are just a few cosiderations for the conversion from a company to an LLP.
You first need to obtain the DIN. Next, you need to call up a board meeting and pass a resolution for the conversion into an LLP. File the name availability form online. On the approval of the name from ROC, you can draft an LLP agreement. The contents of an LLP agreement should include but aren't restricted to; name of the LLP, profit sharing ratio, partners' rights and duties etc. Next you need to file the incorporation documents and file for the application of conversion through Form 18. After meeting all the formalities and upon approval, file Form 19 for the registrar of the LLP to issue a certificate of conversion from the company to the LLP. File Form 3 that provides information between the LLP agreement of the partners. You'll then receive the certificate of incorporation, after receiving which you need to file Form 14 for initimation of ROC.
