Kindly advise whether Form MR-1 is required to be filed for appointment of CS where Whole time KMP is not mandatory (We are Pvt Ltd co having paid up share capital more than Rs.5 Crores)

The form MR 1 need not be filed in this case as the company is not required to appoint KMP under the Act.
Dear Member,
As per Sec 196 read with rules, if a company appoints MD/WTD/CEO/CS/CFO then within 60 days of the appointment company needs to file Form MR-1.
Though your company may need not to appoint a whole time KMP, but if you appoint the same then it should be as per the provisions of Companies Act only.

Hi Sadhana,
When a key managerial personel is appointment in the company or any chage takes place in their status, it is required to file a return in eform dir-12 within 30 days and eform MR-1(in case of appointment) with the ROC within 60 days of their appointment or change in any.
