Kindly guide me on recent changes in MGT-14 and related section and notifications

 My Doubts for a public unlisted company

1. Do we have to file, Accounts finalisation  resolution in MGT-14?

2. Do we have to file disclosure of interest resolution in MGT-14?

for accounts finalisation mgt14 is required whereas for disclosure of interest mgt14 is not required.

In both case, Listed companies and unlisted public company required to file MGT-14 for approve of accounts and disclosure of interest, only private limited companies are exempted.

All companies are exempted from filing mgt14 for discloure of interest as per the circular dated 19.03.2015

no, it is exempted to pvt Ltd co. only, Mr. prakash is right. c notif. DT 5/6/2015.

as per rules amended with effect from 19.03.2015 no company is required to file mgt 14 for disclosure of interest. Kindly see the attached rules amended 

There is no doubt about the fact that all companies are now exempted from filing form mgt.14 for disclosure of interest under section 184. Thanks
Agreed with Ankur Sir! 1. MGT 14 for Approval of Annual Accounts is required, exemption accorded by the notification for quarterly approval of Accounts. 2. Disclosure of Interest U/S 184 is waived off now.

Hello,

I have a very small Private Limited company with hardly 4-5 lakh turnover in a year.

Do I need to file MGT-14 or any resolutions?

We had filed MGT-14 last year AY2014-15 with following 4 resolutions:

  1. RESOLUTION No. 1 APPROVAL OF THE ANNUAL FINANCIAL STATEMENTS 2013 2014
  2. RESOLUTION No. 2 APPROVAL OF THE REPORT OF THE BOARD
  3. APPROVAL OF AUTHORITY FOR INVESTING FUNDS OF THE COMPANY
  4. TAKE NOTE OF THE DISCLOSURE OF DIRECTORS INTEREST AND SHAREHOLDING

Is it required this time again or now it is exempt?
