Dear All,

Can any one suggest me regarding procedure for filling of Form FCGPR in case of Bonus Issue.

There are so many doubts as in bonus issue there will be no inflow of funds. Do we need to provide any addition document also?

In this case you just need to file part A of form FCGPR for intimation of Allotment to NRIs. Form FCGPR is to be filed along with KYC and the portion of FIRC would be not applicable.

Form FCGPR is to be submitted to theRBI through Authorised Dealer Category I Bank. While forwarding the Form, the Authorised Dealer will enlcose KYC Report of the Foreign Investor. Along with Part A of FCGPR following documents is to be attached by the Company:-

(i) Certificate from the Company Secretary of the company certifying that:-

   (a) all the requirements of the companies Act, 1956 have been complied with;

   (b) terms and conditions of the government approval, if any, have been complied with;

   (c) the company is eligible to issue shares under these regulations; and

   (d) N.A.

(ii) Certificate form the CA:- Being Bonus issue this would be N.A.

Will you please guide me what exactly we need to enter in KYC as there is no inflow of money, no question of remitter bank will arise.

 

Dear members, Is Valuation certificate by CA required in case of bonus issue for form FCGPR.

KYC is prepared by the Bank only not you.

 

Further, in your case just to inform RBI about the allotment of shares to the NRIs.

 

FCGPR is to be submitted to the RBI through Authorised Dealer Caterogy I bank only.
