First auditor - pvt. co.

Hi.

One of my friends has opened a Pvt. Ltd. Co. in Mar. 12.

However, no transactions have taken place in it since then.

Please tell me what RoC Compliances I am required to do for getting my audit done and to file with RoC.

Also whether 23B filing for auditor is compulsory for auditor?

Can i prepare a BS for 13 months from March 12 to March 13.

1- Section 210 provides that normally a financial year can consist of not more than 15 months. However, with the permission of the Registrar it can be extended upto 18 months. So you Can prepare a BS for 13 months from March 12 to March 13. 2- You will require to hold 4 board meetings, Annual General Meeting, Prepare Financials and File e-forms 20B, 23AC and 23ACA thereafter. 3. You have to issue share certificates, get the registered office registered under shop and establishment and file NIL Tax return. 4- As an auditor 23B is required to be filed by the Auditor Other Experts views are solicited

yes, u can prepare the BS for 13 months....

filing of 23B  indicates the appointment of an auditor for the audit of the concerned company....therefore, its filing is mandatory.....

First of all you called a first Board Meeting with in 30 days from the date of Incorporation of the company and decide the first financial year and subsequient financial year. If in first board meeting you have decided that it will be prepared for 13 months then it is ok. Maximum, you can made balance sheet for 15 months.

 

In Board Meeting, you will also appoint first auditor. and filed Form-23B with ROC by auditor.

 

If you have not appointed auditor in first board meeting, then you can appoint in general meeting anf submit Form-23B with ROC.

 

Filing of Form-23B is mandatory.
