It shall be filled up by the board of directors within 3 months from the date of such vacancy or not later than immediate next board meeting, whichever is later.
any intermittent vacancy of a woman director shall be filled-up by the Board at the earliest but not later than immediate next Board meeting or three months from the date of such vacancy whichever is later.
However in certain circumstances PROMOTER has to fill the vacancy if all Directors vacate office or disqualify at same time for any non compliance example 164(2).
If promoter is also not present government will fill the vacancy..
Sec 149(1) second proviso provides for women director
Every listed company and every unlisted company having paid up capital 100 crores or more OR turnover 300 crores or more shall appoint atleast one women director on its board
Provided for companies incorporated under companies act 2013
Shall comply with this requirement within 6 months from being covered under this proviso.
In case of vacancy arise , meet within 3 months from date of vacancy or next board meeting whichever is later in accordance to companies ( appointment and qualifications of directors ) rules , 2014
In case of listed company - in harmony with sebi (LODR) regulations ,2015
Please note that turnover means as defined in
Refer sec 2(91)
Make sure provisions in respect of new women director also being complied with in terms of qualifications, candidatures etc
