A private ltd Company appoints Directors during AGM.A director also retires during AGM.

INPUTS:

Form 32 arises u/s 264,266 and 303.Sec264 and 266 are not applicable to Pvt Ltd Co.

We have filed Form 20B and Sch V listing out the present (old+Newly appointed) and also mention the deatilas of retiring Director.

List of authorised signatories down loaded from MCA portal correctly reflects the current list of Directors.

Query:

Is it a must to file Form 32?

If yes under what Section?

If no under what section?

Please calrify

Form 32 is to be filed by private limited company for changes taken in the positions of directors. Directors of a private limited company is exempted from filing consent in Form 29. Section applicable are 303(2), 264(2), 266(1)(a)
and 266(1)(b)(iii) of the Companies Act, 1956 irrespective of private limited or limited.

Ofcouse for every change in the office of Directors/ manager / secretary form 32 is required to be filed irrespective of the fact whether the company is private or public.
