Is there any requirement for the constitution of Compansation Committee while issuing ESOP by Private or Unlisted Public Companies?

According to section 62(1)(b) , Read with Rule 12 of Share capital and debenture rule,
A Company other than listed company which is not required to comply with SEBI ESOP guidlines, ie. Private Companies and unlisted public Companies is not require to comply with seprate constitution of Compensation commitee.
