Draft Notice for EGM

Hello Friends

Want to get draft letter for issuing notice for EGM also tell me what is the difference between notice for AGM and notice for EGM.

Basically i have to apppoint an auditor after resignation by the auditor appointed on 30-Sep-2010 in AGM   on 01-10-2010

so for that i drafted a procedure as attached. Please rectify me if i am wrong .....

In case of AGM notice it is issued for the AGM held for each financial year...it mainly consist the business of notice, director repost annual fililng, Appointment of statutory auditors etc. Annual general meeting is sure to happen once in a year as per sec 166.......Bt on the other hand any General Meeting held b/w 2 AGm then it would be consider as EGM. EGM is conduct when some urgent business needs to be approved in general meeting and for which co. cant wait for next AGM....EGM can be conducted in a financial year its nt statutorily required for further refernce consider sec 169 of co. act ........   


Rest a draft notice of EGM is attached....Edit it as per ur need....
