Dividend not declared since incorporation

Dear Sir,

We are Private Limited Company with Two Directors & since Incorporation 2006 we have not declared any Dividend.

Kindly advise the procedure & calculation in declaraing Dividend for the Profits which are accumlated after Depreciation under Reserves & Surplus.

You can pay dividend out of accumulated profit after providing for depreciation as per Section 205 of Companies Act 1956.  Board has power to declare interim dividend.  Final dividend will be subject to approval of members in general  meeting.
