To my knowledge, there is no provision in companies act regarding minimum rate at which dividend is to be proposed.
There is no minimum rate of dividend prescribed as per Companies Act, but to ensure neither over and under distribution of surplus, Companies (Transfer of profits to reserves) Rules 1975 was framed.
